These Terms of Service (“Terms”) govern your access to and use of the software applications and services (the “Service”) provided by Powerclaim GmbH (“Powerclaim”, “we”, “us”).
By creating an account or using our Service, you agree to be bound by these Terms and our Privacy Policy.
1. The Service
Powerclaim provides AI-assisted software applications designed to help patent professionals do patent-related work, including the drafting of patent claims and application documents. The Service is provided on an “as-is” and “as-available” basis. We may modify, suspend, or discontinue the Service or any of its features at any time without prior notice.
2. User Accounts
To access the Service, you must create a user account. You agree to:
- Provide accurate, current, and complete information during registration.
- Maintain the security of your password and accept all risks of unauthorized access to your account.
- Promptly notify us if you discover or suspect any security breaches.
You are responsible for all activities that occur under your account.
3. Payments, Credits, and Refunds
- Credits: The Service operates on a credit-based system. You must purchase credits to use the applications’ features. The rate at which credits are consumed will be displayed on our website.
- Payments: All payments are processed through a third-party payment processor. We do not handle or store your credit card information. By providing a payment method, you agree to the third-party payment processor’s terms of service.
- Refunds: All purchases of credits are final and non-refundable.
4. User Responsibilities and Conduct
As a user of the Service, you are solely responsible for your actions and the data you process. You agree to the following:
- Professional Judgment: The output generated by the Service is for informational purposes only and is not a substitute for your professional legal judgment. You are solely responsible for the final review, accuracy, and legal sufficiency of any document you create.
- Confidentiality: You are responsible for ensuring that your use of the Service complies with all confidentiality obligations you owe to your clients and your organization.
- Prohibited Use: You may not use the Service for any illegal or unauthorized purpose. You agree not to reverse-engineer, decompile, or attempt to extract the source code of our software.
5. Intellectual Property Rights
- Our Intellectual Property: Powerclaim retains all rights, title, and interest in and to the Service, including all software, graphics, branding, prompts, and AI models.
- Your Intellectual Property: This is your data, and you own it. You retain all ownership rights to the confidential information you provide to the Service (“Input”) and the resulting text generated by the Service (“Output”). We claim no ownership over your Input or Output.
6. Confidentiality
Our commitment to confidentiality is detailed in our Security Policy and Privacy Policy. The core principles are:
- No Model Training: Your confidential data is never used to train our AI models or any third-party AI models.
- Data Sovereignty: Everything runs on servers in Germany.
- Stateless Processing: The invention data is processed and then discarded. It is never stored.
7. Disclaimers and Limitation of Liability
- “As-Is” Service: The Service is provided without warranties of any kind, either express or implied. Powerclaim does not warrant that the Service will be uninterrupted, error-free, or that the Output will be accurate, complete, or fit for any particular purpose.
- No Legal Advice: The Service does not provide legal advice. Your use of the Service does not create an attorney-client relationship between you and Powerclaim GmbH.
- Limitation of Liability: To the fullest extent permitted by applicable law, Powerclaim shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of the Service.
8. Term and Termination
These Terms will remain in effect until terminated by either you or us. You may terminate these Terms at any time by closing your account and ceasing to use the Service. We reserve the right to suspend or terminate your account at any time for any reason, including for a breach of these Terms.
9. Governing Law and Jurisdiction
These Terms shall be governed by the laws of the Federal Republic of Germany, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Munich, Germany, and the parties irrevocably consent to the personal jurisdiction and venue therein.
10. Changes to These Terms
We may modify these Terms from time to time. If we make material changes, we will notify you, for example, by posting a notice on our website or sending you an email. Your continued use of the Service after any modification constitutes your acceptance of the new Terms.
